Terms of Use
Last updated 1 September 2026
Welcome to Firstdroop.
These Terms of Use (“Terms”) govern your access to and use of the Firstdroop website, mobile application, digital services, and related platforms (collectively, the “Platform”).
Firstdroop is a music-premiere platform that allows artists, record labels, publishers, and other authorized rights holders to upload music and schedule it for a limited premiere at a specified date and time. Permitted users may listen to the music during the applicable premiere period before its official release on regular music-streaming platforms such as Apple Music, Spotify, and other authorized services.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. ABOUT FIRSTDROOP
Firstdroop is operated by Firstdroop Technologies Limited, a company incorporated under the laws of the Federal Republic of Nigeria, with its registered office at Plot 459, Cadastral Zone B2, Durumi, Abuja, Nigeria (“Firstdroop,” “we,” “us,” or “our”).
Firstdroop provides technology and digital entertainment services. Unless expressly stated otherwise, Firstdroop does not claim ownership of music uploaded by artists or other rights holders.
2. ELIGIBILITY
You must be at least 13 years old to use Firstdroop.
If you are under the age of majority in your country, you may use the Platform only with the permission and supervision of a parent or legal guardian where required by applicable law.
By using Firstdroop, you confirm that you meet the applicable age requirements and have the legal capacity to agree to these Terms.
3. YOUR ACCOUNT
Certain features may require you to create an account.
You agree to:
Provide accurate and current information;
Keep your login credentials confidential;
Maintain the security of your account;
Notify us promptly of any unauthorized access; and
Accept responsibility for activity carried out through your account, except where caused by our failure to provide reasonable security.
You must not create an account using another person’s identity or impersonate another person, artist, label, or organization.
We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.
4. MUSIC PREMIERES AND SCHEDULED ACCESS
Artists, labels, publishers, and other authorized rights holders may upload a song, group of songs, or album to Firstdroop and set a specific premiere date and time.
A premiere may be made available only to users permitted by the artist, rights holder, Firstdroop, or the applicable access requirements. Access may be limited by account status, invitation, territory, membership level, payment, or other conditions.
The following rules apply to every premiere:
The artist or rights holder determines the scheduled premiere date and time, subject to the Platform’s technical requirements;
Users may listen only during the applicable premiere period;
Access may be limited to one listening session or one play per user, as specified for the relevant premiere;
Once a user has completed or used the permitted play, that user will not be able to replay or access the song or album through that premiere;
If a user pays for access but misses the scheduled premiere date or time, the user will not be entitled to access the song or album through Firstdroop and will not be entitled to a refund, except where a refund is required by applicable law or expressly approved by Firstdroop;
Payment for premiere access does not guarantee access if the user arrives late, fails to meet the listening requirements, uses an incompatible device, or otherwise fails to access the premiere during the scheduled period;
At the end of the scheduled premiere period, the song or album may be automatically removed from the Platform and will no longer be available for listening;
After removal, users must wait for the artist’s or rights holder’s official release on authorized music-streaming platforms, such as Apple Music, Spotify, or other platforms selected by the rights holder; and
Firstdroop does not guarantee that a song or album will later be released commercially.
A premiere may be cancelled, postponed, shortened, extended, restricted, or removed because of the artist’s instructions, rights issues, technical problems, legal requirements, or other circumstances. If Firstdroop cancels or materially fails to provide a paid premiere, any refund or alternative remedy will be determined in accordance with applicable law and Firstdroop’s applicable refund policy.
Listening to a song or album through Firstdroop does not transfer ownership, copyright, or any other intellectual property rights to you.
5. LISTENING REQUIREMENTS AND AUDIO RESTRICTIONS
To protect the quality, confidentiality, and limited nature of unreleased music, Firstdroop may require users to listen through earphones, headphones, or AirPods/EarPods.
Where this requirement applies:
You must connect compatible earphones, headphones, AirPods, or EarPods before playback;
The music may not play unless a compatible listening device is detected;
You must not play the music through external speakers;
You must not play the music loudly or in a manner that allows other people to hear it; and
You are responsible for using a compatible and properly functioning listening device.
Firstdroop may use technical measures to detect or restrict playback through external speakers or unsupported audio devices. We do not guarantee that every earphone, headphone, AirPod, EarPod, phone, computer, or other device will be compatible with the Platform.
You are responsible for listening in a safe manner and at a reasonable volume. Do not use the Platform while driving, operating machinery, or carrying out any activity that requires your full attention.
6. PROHIBITED SHARING, COPYING, AND RECORDING
Premiere music is confidential and may be unreleased. You must not share or make it available to another person.
Unless expressly authorized by Firstdroop and the relevant rights holder, you must not:
Allow another person to listen to a premiere through your account or device;
Share your account, invitation, access code, or login credentials;
Play premiere music for another person;
Play premiere music through external speakers or public audio systems;
Download, copy, reproduce, or redistribute premiere music;
Record, screen-record, capture, extract, or otherwise reproduce audio or video from a premiere;
Use another device or person to bypass the one-play or limited-access restrictions;
Upload, post, transmit, sell, or distribute unreleased music obtained through Firstdroop;
Circumvent access restrictions, scheduled premiere times, playback limits, or technical protection measures;
Use unreleased music for commercial purposes;
Make premiere music available through unauthorized websites, applications, messaging services, social-media platforms, or file-sharing services; or
Use the Platform to infringe copyright or any other intellectual property right.
You are responsible for complying with all applicable copyright, privacy, and intellectual property laws.
7. ARTIST AND RIGHTS HOLDER CONTENT
Artists, labels, publishers, and other authorized contributors may upload or submit songs, albums, artwork, descriptions, release information, premiere dates, premiere times, access conditions, and other materials (“Content”).
By submitting Content, you represent and warrant that:
You own or control the rights necessary to submit the Content and authorize its use on Firstdroop;
You have obtained all required permissions, licenses, consents, and approvals from artists, producers, songwriters, performers, publishers, labels, and other relevant rights holders;
The Content does not infringe the rights of any person or organization;
The Content complies with applicable law;
The scheduled premiere date and time are accurate and authorized;
You have the authority to determine the applicable access conditions;
You have the authority to agree to these Terms on behalf of any relevant rights holder; and
The Content is not subject to any restriction that would prevent Firstdroop from providing the scheduled premiere.
You retain ownership of your Content.
However, you grant Firstdroop a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, technically modify, display, communicate, transmit, and make the Content available through the Platform for the purposes of operating, securing, promoting, improving, and providing the premiere services.
This license includes the right to apply technical restrictions, limit playback, detect compatible listening devices, remove Content automatically after the scheduled premiere, and retain necessary copies for security, legal, accounting, backup, and operational purposes.
You may request removal of Content that you are authorized to remove, subject to applicable agreements, legal obligations, scheduled premiere commitments, and outstanding rights-holder requirements.
8. ARTIST EARNINGS, DEDUCTIONS, AND WITHDRAWALS
Artists may receive earnings from paid premiere access, fan gifts, coins, stickers, or other monetized features made available through the Platform. The amount shown as generated from a transaction may be a gross amount and is not necessarily the amount payable to the artist.
Unless otherwise disclosed for a particular feature, an artist’s net earnings are calculated as the applicable gross amount actually received by Firstdroop, less the deductions described in this Section.
8.1 Platform fees
A platform fee is the fee retained by Firstdroop for providing, operating, administering, securing, and supporting the relevant Platform feature.
A platform fee may be deducted from the gross amount generated by paid premiere access, coins, stickers, fan gifts, withdrawals, subscriptions, or other monetized features, as disclosed before or during the relevant transaction.
The applicable platform fee may be:
A percentage of the gross transaction amount;
A fixed amount;
A combination of a percentage and a fixed amount; or
A fee applicable to a particular feature, transaction type, territory, currency, or payment method.
The applicable platform fee will be displayed at the relevant point of purchase, gifting, withdrawal, or settlement, or published in the Platform’s applicable fee schedule.
8.2 Payment-processing fees
Payment-processing fees are fees charged by banks, card networks, mobile-money providers, payment gateways, wallet providers, payout providers, or other third-party financial service providers.
Payment-processing fees are separate from Firstdroop’s platform fees. They may apply when:
A user purchases premiere access, coins, stickers, or another paid feature;
A user sends a gift;
Firstdroop receives or settles a payment;
Firstdroop processes a refund or reversal;
Firstdroop pays or transfers earnings to an artist; or
An artist requests a withdrawal.
Payment-processing fees may be deducted from the gross transaction amount, the artist’s earnings, the withdrawal amount, or the amount otherwise payable, depending on the applicable payment method and the disclosure provided for the transaction.
Third-party payment-processing fees may vary and may be imposed or changed by the relevant provider without control by Firstdroop.
8.3 Taxes and statutory deductions
Taxes, levies, duties, withholding taxes, value-added tax, digital-service taxes, or other government-imposed charges may apply to a transaction or payment.
Taxes charged to a user at checkout are separate from the artist’s earnings unless applicable law or the relevant transaction disclosure provides otherwise.
Where Firstdroop is required by law to collect, withhold, deduct, report, or remit taxes or other statutory amounts, those amounts may be deducted before payment to the artist. Any amount withheld or remitted to a government authority will be treated as paid to the artist for purposes of calculating the artist’s net earnings.
Artists are responsible for their own tax obligations arising from their earnings, except to the extent Firstdroop is legally required to withhold, collect, or report amounts.
8.4 Refunds and reversals
If a user is entitled to a refund, or Firstdroop approves a refund, the refunded amount may be deducted from the artist’s pending or available earnings if the underlying transaction generated earnings for that artist.
Where a refund is processed after an artist has already received the related earnings, Firstdroop may recover the refunded amount by:
Deducting it from future earnings;
Deducting it from the artist’s available balance;
Offsetting it against future withdrawals;
Requiring repayment; or
Taking another lawful recovery measure.
Any platform fee or payment-processing fee that Firstdroop cannot recover from the relevant provider may also be deducted from the artist’s earnings where the refund resulted from the artist’s cancellation, inaccurate information, rights issue, breach, or other circumstance attributable to the artist.
8.5 Chargebacks and payment disputes
A chargeback occurs when a user disputes a payment through a bank, card issuer, payment provider, or other financial institution and the payment is reversed or withheld.
Chargebacks are separate from refunds. A chargeback may occur without Firstdroop approving a refund.
If a chargeback, payment reversal, unauthorized-payment claim, or payment dispute affects a transaction connected to an artist, Firstdroop may:
Place the related earnings on hold;
Reverse or remove the related earnings;
Deduct the disputed amount from the artist’s balance;
Deduct any chargeback fee, investigation fee, payment-provider fee, or related cost;
Offset the amount against future earnings or withdrawals; or
Require the artist to repay the amount.
These deductions may apply even if the artist has already withdrawn the earnings and even if the chargeback results from the user’s conduct rather than the artist’s conduct.
8.6 Other adjustments
Firstdroop may adjust, withhold, or reverse earnings to correct:
Duplicate transactions;
Pricing or accounting errors;
Fraudulent or unauthorized activity;
Manipulated plays, gifts, coins, stickers, or engagement;
Breaches of these Terms;
Rights disputes or takedowns;
Transactions that violate applicable law; or
Other errors or circumstances affecting the validity or settlement of a transaction.
8.7 Net earnings and statements
The artist will receive only the applicable net earnings after all applicable platform fees, payment-processing fees, taxes, refunds, chargebacks, reversals, adjustments, and other disclosed or legally required deductions.
Firstdroop may display gross amounts, estimated deductions, pending earnings, available earnings, and net earnings. Estimates may change after payment settlement, refunds, chargebacks, tax review, reconciliation, or fraud review.
Firstdroop’s transaction records and settlement calculations will be conclusive absent manifest error.
8.8 Pending earnings and withdrawals
An artist may not withdraw money attributable to paid access, gifts, coins, stickers, or another monetized feature until the relevant transaction has settled and Firstdroop has completed any required verification, reconciliation, fraud review, refund review, chargeback review, tax review, or other processing.
Firstdroop may delay, withhold, reverse, or adjust earnings where there is suspected fraud, a payment dispute, a refund, a chargeback, a violation of these Terms, a rights issue, or another legitimate legal or operational reason.
The minimum withdrawal amount is US$100, or its equivalent in the applicable withdrawal currency.
Withdrawal requests below the minimum amount may not be processed and may remain in the artist’s account until the minimum amount is reached.
A withdrawal fee may be applied to each withdrawal request. A withdrawal fee is separate from platform fees and payment-processing fees relating to the underlying fan purchase or gift. The applicable withdrawal fee will be displayed before the withdrawal is confirmed or may be published in the Platform’s fee schedule.
Any payment-processing, foreign-exchange, intermediary-bank, or other third-party fee incurred in transferring funds to the artist may also be deducted from the withdrawal amount where disclosed or permitted by the applicable payment method.
Artists are responsible for providing accurate payment and withdrawal information.
Firstdroop may require identity verification, tax information, banking information, or other documentation before processing a withdrawal.
Processing times may vary depending on the payment method, financial institution, country, compliance checks, chargeback exposure, and other circumstances.
9. COINS, STICKERS, AND FAN GIFTS
Firstdroop may allow fans or users to purchase virtual coins, stickers, or other digital items for the purpose of gifting them to artists.
The following rules apply:
The price charged to a fan may include the value of the coins or stickers, applicable platform fees, payment-processing fees, taxes, and other charges disclosed at checkout;
Platform fees are amounts retained by Firstdroop for providing the relevant purchasing, gifting, or related Platform service;
Payment-processing fees are amounts charged by third-party payment providers and may apply separately from platform fees;
Taxes and statutory charges may be added to the purchase price or otherwise collected, withheld, or remitted as required by law;
The applicable price, fees, taxes, and other charges will be displayed before the purchase is completed or may be published in the Platform’s fee schedule;
Coins and stickers purchased through Firstdroop must be gifted to artists and may not be used for any other purpose unless Firstdroop expressly permits otherwise;
All purchases of coins and stickers are final, except where a refund is required by applicable law or expressly approved by Firstdroop;
A fan may not withdraw, redeem, exchange, transfer, or convert purchased coins or stickers into cash;
A fan may not withdraw money or earnings received from coins or stickers purchased for the purpose of gifting artists;
Coins and stickers have no cash value, are not legal tender, and do not represent a deposit, investment, or ownership interest;
Coins and stickers may not be sold, exchanged, transferred, or gifted outside the Platform;
Firstdroop may set expiration dates, usage limits, purchase limits, or other conditions for coins and stickers;
Firstdroop may cancel, reverse, or remove coins, stickers, or gifts obtained through fraud, unauthorized payment, chargeback, abuse, or violation of these Terms; and
Firstdroop does not guarantee that coins, stickers, or gifting features will always be available.
Where coins, stickers, or other virtual items are gifted to an artist, the artist will receive only the applicable net earnings after deduction of platform fees, payment-processing fees, taxes, refunds, chargebacks, reversals, adjustments, and other applicable deductions.
10. FAN GIFTING DURING LIVE PREMIERES
During a live premiere or other live event, fans may be permitted to gift coins, stickers, or other virtual items to an artist.
Before a fan completes a gift transaction, Firstdroop may disclose the applicable gift value, platform fee, payment-processing fee, taxes, and other charges. The total amount charged to the fan may therefore differ from the value credited toward the artist’s earnings.
A platform fee may be retained by Firstdroop for providing the live-premiere, gifting, payment, moderation, security, and related services.
Payment-processing fees may be charged by third-party payment providers and may be deducted from the fan’s payment, the gift value, the artist’s earnings, or the withdrawal amount, depending on the applicable transaction and disclosure.
Taxes, levies, duties, withholding taxes, value-added tax, or other statutory charges may be added to the fan’s payment or deducted from the amount payable to the artist where required by law.
The artist will receive only the applicable net amount after deduction of all applicable platform fees, payment-processing fees, taxes, refunds, chargebacks, reversals, adjustments, withdrawal fees, and other disclosed or legally required deductions.
Firstdroop may display the gross gift amount, the amount charged to the fan, the applicable deductions, and the estimated or actual net amount payable to the artist. Any displayed estimate may change after settlement, refund, chargeback, tax review, fraud review, or reconciliation.
Gifts are voluntary and generally non-refundable once sent, except where a refund is required by applicable law or expressly approved by Firstdroop. If a gift is refunded, reversed, or charged back, the related artist earnings may be withheld, reversed, deducted, or recovered in accordance with Section 8.
11. RELEASE DATES AND CONTENT AVAILABILITY
Firstdroop does not guarantee that:
A song or album will be available on a particular date or time;
A premiere will remain available until its scheduled end time;
A user will be able to access a premiere successfully;
A user will be permitted to replay a song or album;
A user who misses the scheduled premiere will receive another opportunity to listen;
A paid access fee will be refunded because a user missed the scheduled premiere;
A song or album will be commercially released after the premiere;
A song or album will be released on Apple Music, Spotify, or any other streaming platform;
A particular artist or label will continue using Firstdroop; or
Content will be available in every country or territory.
Release dates, premiere times, access conditions, and availability may change because of artist decisions, licensing requirements, rights disputes, technical issues, legal requirements, or other circumstances.
12. USER CONTENT
If the Platform allows you to submit comments, reviews, messages, ratings, or other materials (“User Content”), you remain responsible for your User Content.
You must not submit content that is unlawful, defamatory, abusive, threatening, discriminatory, misleading, or infringing.
You must not use User Content to disclose, describe, reproduce, or distribute unreleased music or confidential premiere information in a way that violates these Terms or the rights of an artist or rights holder.
By submitting User Content, you grant Firstdroop a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute that User Content as necessary to operate, secure, and promote the Platform.
We may remove User Content that violates these Terms or applicable law.
13. INTELLECTUAL PROPERTY
The Platform, including its software, design, branding, logos, text, graphics, features, playback technology, security systems, and other materials, is owned by or licensed to Firstdroop and is protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, license, reverse engineer, interfere with, or commercially exploit any part of the Platform.
Firstdroop and its logos are trademarks or intended trademarks of Firstdroop Technologies Limited, where applicable.
All music, artwork, recordings, compositions, performances, names, logos, and other Content made available through the Platform remain the property of the relevant artists, labels, publishers, or other rights holders.
14. SUBSCRIPTIONS, PAYMENTS, REFUNDS, AND CHARGEBACKS
Certain features may be offered through paid subscriptions, premiere-access purchases, invitations, coins, stickers, gifts, withdrawals, or other payment arrangements.
Before completing a purchase, you will be informed of the applicable price, billing frequency, platform fees, payment-processing fees, taxes, withdrawal fees, and other material conditions that apply to the relevant transaction.
14.1 Platform fees
Platform fees are amounts retained by Firstdroop for providing, operating, administering, securing, supporting, or improving the relevant Platform feature.
A platform fee may apply to:
Premiere-access purchases;
Purchases of coins or stickers;
Gifts sent to artists;
Subscriptions;
Artist withdrawals; or
Other monetized features.
A platform fee may be a percentage, a fixed amount, or a combination of both. The applicable platform fee will be displayed before the relevant transaction is completed or published in the applicable fee schedule.
14.2 Payment-processing fees
Payment-processing fees are amounts charged by third-party payment providers, including banks, card networks, payment gateways, mobile-money providers, wallet providers, and payout providers.
Payment-processing fees are separate from platform fees and may apply when:
A user makes a purchase;
Firstdroop receives or settles a payment;
A refund or reversal is processed;
A chargeback is investigated or processed; or
An artist receives a withdrawal.
Payment-processing fees may be included in the amount charged to the user or deducted from the amount payable to an artist, depending on the applicable transaction and disclosure.
14.3 Taxes and statutory charges
Taxes, levies, duties, value-added tax, withholding taxes, digital-service taxes, and other statutory charges may apply to purchases, subscriptions, gifts, withdrawals, or other transactions.
Taxes and statutory charges may be added to the amount charged to a user or deducted from an artist’s earnings where required by law.
Where Firstdroop is required to collect, withhold, deduct, report, or remit a tax or statutory charge, the relevant amount may be treated as paid or settled for the applicable transaction.
14.4 Subscriptions
If you subscribe to a recurring service, your subscription may renew automatically unless cancelled in accordance with the applicable subscription terms.
The subscription price, renewal frequency, applicable platform fees, payment-processing fees, taxes, and cancellation conditions will be disclosed before or at the time of subscription.
Cancelling a subscription generally prevents future renewals but does not automatically create a refund for a period that has already begun, except where a refund is required by applicable law or expressly approved by Firstdroop.
14.5 Premiere-access purchases
Unless required by applicable law or expressly stated otherwise:
Payment for access to a premiere does not guarantee that you will be able to listen if you miss the scheduled premiere time;
Payment for access does not guarantee access if you fail to meet the listening requirements or use an incompatible device;
Platform fees and payment-processing fees applied to a completed premiere-access purchase are generally non-refundable;
Taxes and statutory charges may be refundable only to the extent required by applicable law or recoverable from the relevant authority or payment provider; and
If Firstdroop cancels or materially fails to provide a paid premiere, Firstdroop may provide a refund, credit, replacement access, or other remedy in accordance with applicable law and the applicable refund policy.
14.6 Coins, stickers, and gifts
Fees applied to purchases of coins, stickers, gifts, or withdrawals are generally non-refundable once the relevant transaction has been completed, except where a refund is required by applicable law or expressly approved by Firstdroop.
Purchased coins and stickers must be gifted to artists and cannot be withdrawn or redeemed by the purchasing fan.
Gifts sent to artists cannot generally be cancelled or refunded after they have been sent. If a gift is refunded, reversed, or charged back, the related artist earnings may be withheld, reversed, deducted, or recovered under Section 8.
14.7 Refunds
Refunds will be handled in accordance with applicable law, the applicable refund policy, and the specific terms presented at the time of purchase.
A refund may include the amount paid for the relevant service or virtual item, but may exclude platform fees, payment-processing fees, taxes, or other charges that are non-refundable by law or cannot be recovered from the relevant provider, unless applicable law requires those amounts to be refunded.
If a refund is issued after an artist has been credited or paid, Firstdroop may recover the related amount from the artist’s pending earnings, available balance, future earnings, or future withdrawals.
14.8 Chargebacks and payment disputes
A chargeback or payment dispute initiated through a bank, card issuer, payment provider, or financial institution is not the same as a refund approved by Firstdroop.
If a chargeback, unauthorized-payment claim, payment reversal, or other dispute affects a transaction, Firstdroop may suspend the related account or transaction, withhold or reverse artist earnings, remove related coins or stickers, cancel gifts, deduct chargeback or processing fees, and recover any resulting loss from the responsible account.
These measures may apply while the dispute is under review and may continue after the dispute is resolved where necessary to correct the account balance or comply with the payment provider’s decision.
14.9 Payment authorization and failed transactions
You authorize Firstdroop and its payment providers to charge the payment method you provide for the applicable amount, including disclosed fees, taxes, renewals, and other charges.
If a payment fails, is reversed, is unauthorized, or is suspected to be fraudulent, Firstdroop may suspend access, cancel the relevant transaction, remove virtual items, reverse gifts, withhold earnings, or require another valid payment method.
15. ADVERTISING AND THIRD-PARTY SERVICES
Firstdroop may display advertisements or provide access to third-party services, links, or content.
We do not necessarily endorse third-party services and are not responsible for their independent content, availability, security, or practices.
Your use of third-party services may be subject to separate terms and privacy policies.
16. PRIVACY
Your use of Firstdroop is also governed by our Privacy Policy, which explains how we collect, use, store, and protect personal information.
To provide limited and secure premieres, process payments, administer withdrawals, manage coins and stickers, provide gifting features, and prevent fraud, Firstdroop may collect and process information relating to your account, device, payment activity, withdrawal activity, purchase history, gifting activity, playback activity, access permissions, listening session, connected audio device, and compliance with Platform restrictions, subject to applicable law.

You use an unauthorized device or method to access Content;

We are required to do so by law; or
We discontinue or materially change the Platform.
We may also invalidate a premiere access permission, cancel a listening session, remove Content, reverse or cancel virtual items, withhold earnings, suspend withdrawals, or prevent further playback without notice where reasonably necessary to protect Firstdroop, an artist, a rights holder, a payment provider, or other users.
You may stop using the Platform at any time.
Termination does not affect rights or obligations that accrued before termination, including intellectual property rights, payment obligations, confidentiality obligations, withdrawal restrictions, and provisions intended to survive termination.
19. DISCLAIMERS
To the maximum extent permitted by applicable law, Firstdroop provides the Platform on an “as available” and “as is” basis.
We do not guarantee that:

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.
20. LIMITATION OF LIABILITY

Nothing in these Terms limits liability for fraud, willful misconduct, or any other liability that cannot legally be limited.
21. INDEMNITY
To the extent permitted by law, you agree to indemnify and hold harmless Firstdroop, its officers, directors, employees, contractors, licensors, and service providers from claims, losses, damages, liabilities, and expenses arising from:

When we make material changes, we will provide reasonable notice through the Platform or other appropriate means.
Your continued use of Firstdroop after the updated Terms take effect constitutes acceptance of the revised Terms.
23. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the Federal Republic of Nigeria, unless applicable law requires otherwise.

24. GENERAL PROVISIONS
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
Our failure to enforce any provision does not constitute a waiver of that provision.
These Terms, together with any applicable additional terms, fee schedules, refund policies, and privacy policies, constitute the agreement between you and Firstdroop concerning your use of the Platform.
